1. Introduction

Welcome to LipDub AI ("Service"), a product of neabase ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Use of the Service

Our Service provides AI-powered lip-syncing technology for user-generated content and AI videos. You may use our Service only as permitted by law and according to these Terms. We reserve the right to modify or discontinue the Service at any time without notice.

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding the password and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. User Content

Our Service allows you to upload, submit, store, send, or receive content. You retain ownership of any intellectual property rights that you hold in that content. By uploading content to our Service, you grant neabase a worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with the Service.

You represent and warrant that:

• You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all intellectual property rights in and to any content that you submit.
• Your content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

5. Prohibited Uses

You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To impersonate or attempt to impersonate neabase, a neabase employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm neabase or users of the Service.
• To generate deepfakes or other content that could be used to spread misinformation or harm others.
• To create content that is defamatory, obscene, pornographic, vulgar, offensive, or promotes discrimination, bigotry, racism, or hatred.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of neabase and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of neabase.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Limitation of Liability

In no event shall neabase, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
